Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 3, 2020, Frederick Craves, Ph.D., notified Twist Bioscience Corporation (the “Company”) of his decision not to stand for re-election to the Board of Directors of the Company (the “Board”) at the annual meeting of stockholders of the Company to be held on February 4, 2020 (the “Annual Meeting”), and his resignation as a Class II director will be effective at the end of his current term at the Annual Meeting. Dr. Craves indicated that his decision not to stand for re-election and his resignation from the Board was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
